MindMode GmbH supplies goods and provides services under the following terms and conditions (T&Cs).

Rates for Travel Time

Normally, travel time is considered as working time. In exceptional cases (especially for long distances), flat-rate travel expenses may be agreed upon.

 

Conclusion of the Contract

The contract between the customer and MindMode GmbH is only concluded upon an order from the customer and its acceptance by MindMode GmbH. An order from the customer is placed in writing, by letter, phone, or email. Generally, the signed quote or invoice serves as an order confirmation.

Product Offering

All information about the goods or training that the customer receives during the ordering process is non-binding. In particular, changes, as well as errors in description, illustration, and pricing, are reserved. All technical information about individual goods or training is based on the information provided by MindMode GmbH or other manufacturers and is binding in this context.

Payment Terms

All prices are guide prices and are continuously adjusted to the market. They are in CHF, exclusive of VAT. Payment is generally due net within 10 days of invoicing. MindMode GmbH reserves the right to supply certain new customers only upon advance payment.

Delivery Terms

Once all contractual conditions are met and the products are available, they will be delivered immediately to the address specified by the customer. Or delivered at the agreed-upon date.

Retention of Title

The delivered goods remain the property of MindMode GmbH until full payment is received. If the customer is late in paying the purchase price, MindMode GmbH is entitled to withdraw from the contract and reclaim the goods.

Warranty and Liability

MindMode GmbH's liability for breaches of contract is limited to intentional or grossly negligent behavior. Liability for indirect damage is excluded.

MindMode GmbH is in no way responsible for atypical and therefore unpredictable consequential damages. MindMode GmbH is also not liable for damages that the customer could have prevented by taking reasonable measures—especially program and data backup and adequate product training of the user.

Jurisdiction and Applicable Law

The present T&Cs and contracts concluded based on these T&Cs are subject to Swiss law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The jurisdiction is Switzerland, 6440 Brunnen, SZ.
 

Final Provisions

For the sale of goods specified by MindMode GmbH, only the T&Cs in their version valid at the time of each contract conclusion apply. These terms and conditions also apply, especially if they differ from those of the customer. For the delivery of software, the manufacturer's license terms accompanying and/or contained in the data carrier also apply. Should individual provisions of these T&Cs be or become ineffective, this does not affect the legal effectiveness of the remaining provisions. MindMode GmbH reserves the right to make changes to the General Terms and Conditions at any time.
